Wholesale purchasing is intended for legitimate businesses, retailers, resellers, organizations, and other approved commercial customers.

Alex & Chloe Soap Company LLC may request information necessary to verify a wholesale account, including:

• Legal business name
• Business or store name
• Business address
• Business website or online storefront
• Business contact information
• Resale or sales-tax documentation, when applicable
• Tax identification information, when reasonably necessary
• Intended sales channels
• Other information reasonably necessary to verify the business

Submitting a wholesale application does not guarantee approval.

Alex & Chloe reserves the right to approve, deny, suspend, or terminate a wholesale account when permitted by applicable law.

Wholesale Customers are responsible for providing accurate, complete, and current information.

You agree to promptly update your account if there is a material change to your:

• Business name
• Business address
• Shipping address
• Billing information
• Contact information
• Authorized purchasers
• Tax or resale status
• Business ownership or operating status

Alex & Chloe is not responsible for delays, failed deliveries, incorrect shipments, or other problems resulting from inaccurate information supplied by the Wholesale Customer.

Wholesale pricing is available only to approved wholesale customers.

Wholesale prices are subject to change based on product costs, materials, availability, market conditions, promotions, and other business considerations.

Unless otherwise stated in writing:

• Wholesale prices do not include applicable taxes or shipping charges.
• Wholesale pricing is confidential business information and should not be publicly represented as Alex & Chloe's retail pricing.
• A quoted price is not guaranteed until the order has been accepted by Alex & Chloe.
• Special pricing, discounts, promotions, or negotiated pricing may have additional conditions.

Alex & Chloe may correct pricing errors, including typographical, technical, or system errors, before an order is accepted.

Wholesale orders may be submitted through an approved wholesale website, ordering system, email, purchase order, or another method approved by Alex & Chloe.

Submitting an order constitutes a request to purchase products. An order is not considered fully accepted until Alex & Chloe confirms the order or begins processing it.

Alex & Chloe reserves the right to:

• Accept or decline an order;
• Limit quantities;
• Substitute or remove unavailable products with customer approval when appropriate;
• Cancel products that are discontinued or unavailable;
• Adjust an order when necessary because of inventory or fulfillment limitations;
• Require payment before processing an order.

No order is guaranteed until accepted by Alex & Chloe.

Alex & Chloe may establish minimum opening-order requirements, reorder requirements, product quantities, case quantities, or other wholesale purchasing requirements.

Applicable minimums will be communicated through the wholesale program, product listings, ordering system, quotation, invoice, or other written communication.

Alex & Chloe reserves the right to modify wholesale minimums when reasonably necessary.

Unless different payment terms have been approved in writing, wholesale orders are generally required to be paid in full before shipment or according to the payment terms stated on the applicable invoice.

Accepted payment methods may include those made available by Alex & Chloe at the time of purchase.

If credit terms are approved for a Wholesale Customer, payment must be made according to the agreed terms.

Alex & Chloe may suspend future orders or wholesale account access when an account has unpaid or overdue balances.

Any applicable payment processing charges, returned-payment fees, or other charges will be communicated to the customer when applicable and must comply with applicable law.

Wholesale Customers are responsible for providing valid resale, exemption, or tax documentation when applicable.

If appropriate documentation is not provided or is no longer valid, applicable sales or other taxes may be charged.

Wholesale Customers are responsible for complying with their own applicable tax and reporting obligations.

Shipping charges, delivery methods, and estimated shipping times will be determined based on the applicable order.

Shipping times are estimates and are not guaranteed unless specifically agreed to in writing.

Alex & Chloe is not responsible for delays caused by:

• Shipping carriers
• Weather
• Natural disasters
• Holidays
• Government actions
• Supply-chain interruptions
• Carrier disruptions
• Incorrect customer information
• Events outside of our reasonable control

Wholesale Customers are responsible for providing an accurate shipping address and appropriate delivery information.

Wholesale Customers should inspect shipments promptly after delivery.

Customers should verify:

• Product quantities
• Product types
• Visible damage
• Packaging condition
• Any other obvious discrepancies

Claims involving damaged, missing, defective, or incorrect products should be reported to Alex & Chloe as soon as reasonably possible after delivery.

Customers may be required to provide photographs, shipment information, order numbers, or other documentation to assist with an investigation.

If a product arrives damaged, defective, or materially different from what was ordered, Alex & Chloe will review the claim and, when appropriate, may provide a replacement, credit, refund, or another reasonable resolution.

Customers should not dispose of damaged merchandise or packaging before being instructed to do so when documentation may be required for a carrier or fulfillment investigation.

Claims are subject to verification.

Wholesale orders are business transactions and may have different return requirements from retail purchases.

Returns are not automatically accepted.

A Wholesale Customer must obtain written authorization from Alex & Chloe before returning merchandise.

Unauthorized returns may be refused or returned to the customer at the customer's expense.

Unless otherwise agreed in writing, products must be unused, unopened, and in their original saleable condition to be considered for a return.

Custom, personalized, clearance, discontinued, specially produced, or final-sale products may not be eligible for return.

Requests to change or cancel an order must be submitted as soon as possible.

Once an order has entered processing, production, packing, or shipment, changes or cancellations may not be possible.

Alex & Chloe may decline a cancellation request when the order has already been processed or shipped.

Any approved cancellation, refund, or credit is subject to the circumstances of the individual order.

Wholesale Customers may resell genuine Alex & Chloe products purchased directly from Alex & Chloe through approved sales channels, provided that such resale complies with applicable laws and these Terms.

Wholesale Customers may not:

• Represent themselves as Alex & Chloe Soap Company LLC;
• Claim to be an authorized representative unless specifically authorized;
• Alter product labels or required product information;
• Misrepresent product ingredients, characteristics, uses, or claims;
• Sell counterfeit or altered Alex & Chloe products;
• Use deceptive advertising involving Alex & Chloe;
• Imply that Alex & Chloe endorses an unrelated business without permission.

Additional restrictions may apply to specific products or sales channels.

Alex & Chloe may establish restrictions concerning where wholesale products may be advertised or sold.

Certain marketplaces, websites, platforms, or sales channels may require prior written approval.

Wholesale Customers agree to follow any written sales-channel restrictions communicated by Alex & Chloe.

Alex & Chloe reserves the right to restrict or discontinue wholesale access for unauthorized distribution or resale practices, subject to applicable law.

The Alex & Chloe Soap Company name, logos, photographs, graphics, product descriptions, website content, packaging designs, trademarks, branding, and other intellectual property belong to Alex & Chloe Soap Company LLC or their respective rights holders.

Purchasing wholesale products does not transfer ownership of Alex & Chloe's intellectual property.

Wholesale Customers may use approved product images, descriptions, and branding materials solely for legitimate promotion and resale of genuine Alex & Chloe products when such use is permitted.

Customers may not modify, reproduce, register, claim ownership of, or misuse Alex & Chloe intellectual property.

Wholesale Customers are responsible for accurately representing products to their own customers.

Customers must not make false, misleading, unauthorized, medical, therapeutic, safety, performance, or other claims about Alex & Chloe products.

Product information should not be altered in a way that creates a misleading impression about the product.

Wholesale pricing, discounts, quotations, account information, unpublished product information, business communications, and other non-public information provided to Wholesale Customers may be considered confidential business information.

Wholesale Customers agree not to publicly distribute or disclose confidential wholesale information except when required by law or authorized by Alex & Chloe.

Wholesale Customers are responsible for protecting their wholesale account credentials.

You are responsible for activity conducted through your account by individuals you authorize.

If you believe your account has been accessed without authorization, you should notify Alex & Chloe as soon as reasonably possible.

Alex & Chloe may suspend or terminate a wholesale account when permitted by law, including circumstances involving:

• Unpaid balances;
• Fraudulent or misleading information;
• Unauthorized resale;
• Abuse or misuse of the wholesale program;
• Violation of these Terms;
• Unauthorized use of Alex & Chloe intellectual property;
• Repeated order or payment issues;
• Conduct that creates unreasonable business or operational risk.

Termination does not eliminate any payment obligations or other obligations that arose before termination.

Products may be limited by inventory, production capacity, seasonal availability, supplier availability, or other circumstances.

Alex & Chloe does not guarantee that every product will remain available indefinitely.

Seasonal, limited-edition, discontinued, or promotional products may have limited quantities.

Alex & Chloe is not responsible for failure or delay in performing its obligations when caused by circumstances outside its reasonable control, including natural disasters, severe weather, fires, floods, transportation disruptions, labor disruptions, government actions, supplier failures, internet or technology failures, or other extraordinary circumstances.

Wholesale Customers are responsible for complying with all laws, regulations, licensing requirements, tax requirements, labeling requirements, advertising requirements, and other rules applicable to their business and resale activities.

Nothing in these Terms authorizes a customer to violate applicable law.

To the maximum extent permitted by applicable law, Alex & Chloe Soap Company LLC provides wholesale products and services according to the applicable order, invoice, product information, and these Terms.

Nothing in these Terms is intended to exclude or limit any warranty, right, remedy, or obligation that cannot legally be excluded or limited.

To the maximum extent permitted by applicable law, Alex & Chloe Soap Company LLC will not be responsible for indirect, incidental, special, consequential, or business-related losses arising from a wholesale transaction, except to the extent such limitation is prohibited by applicable law.

Nothing in these Terms limits liability that cannot legally be limited.

Alex & Chloe may update these Wholesale Terms from time to time.

Updated Terms may become effective on the date stated in the updated version or as otherwise communicated by Alex & Chloe.

Unless otherwise required by law, updated Terms will generally apply to orders placed after the effective date and will not retroactively change completed transactions.

These Terms and wholesale transactions with Alex & Chloe Soap Company LLC are governed by the applicable laws of the State of Wisconsin, except to the extent applicable law requires otherwise.

Any dispute will be handled in accordance with applicable law and any other written agreement between the parties.

These Wholesale Terms, together with any applicable wholesale application, quotation, invoice, order confirmation, written agreement, and other applicable policies, constitute the terms governing the applicable wholesale transaction.

If a separate written agreement signed by Alex & Chloe and the Wholesale Customer conflicts with these Terms, the signed written agreement will control to the extent of the conflict.

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue to apply to the fullest extent permitted by law.

Failure by Alex & Chloe to enforce a provision of these Terms does not constitute a waiver of the right to enforce that provision in the future.

By checking the agreement box, submitting a wholesale application, accessing wholesale pricing, placing a wholesale order, or purchasing products through the Alex & Chloe wholesale program, you acknowledge that:
